For submitting voting rights notifications electronically please use the two electronic formats (pdf-file and xml-file) which have been provided to you by BaFin. Please note that it is required to submit both file formats of the electronic voting rights notification. It is legally not sufficient to submit the notification as ‘readable’ version (pdf-file) or as xml-file only.

Submitting voting rights notifications by e-mail to another than the above-mentioned e-mail address is legally not sufficient.

Notification of voting rights pursuant to the German Securities Trading Act (WpHG)

Knowledge of changes relating to major holdings of voting rights in listed companies increases the transparency in the capital market and helps investors in making investment decisions. This is why natural and legal persons are required to notify BaFin and the listed company of the extent of their voting rights once these reach, exceed or fall short of a threshold as the result of acquisition or sale of voting shares or financial instruments or for any other reason.

These thresholds are 3%, 5%, 10%, 15%, 20%, 25%, 30%, 50% or 75%. In addition to voting shares, capital market participants must also report if they hold certain financial instruments with which shares can be acquired. In this case, however, the input threshold is 5%. The issuer and BaFin must be promptly notified of any changes in voting rights.
